Situation: The Owner/Founder of the business had signed heads of terms with a Singapore-based acquiror with a roll up strategy. The acquiror sought to purchase a number of businesses in the EduTech space across the globe with a view to listing a consolidated vehicle through an NYSE offering.


Impact: The Laeceum team provided strategic counsel to the Owner/Founder of the business helping him to optimize exit value and mitigate against downside risk. Having run a competitive process to select a legal firm, the Laeceum team then managed the transaction post heads of terms through to completion culminating in a listing in April 2022
